Corportate governanceBannerman Resources Limited is a listed company and is subject to the rules of the Australian Securities Exchange Limited (ASX), Toronto Stock Exchange (TSX) and Namibian Stock Exchange (NSX), the Corporations Act 2001 (Cth) and other Australian and international laws and regulations. Bannerman is committed to a corporate governance regime which reflects Bannerman’s business principles and is designed to address Bannerman’s responsibilities to its shareholders, employees, the community and other stakeholders. ASX Principles and Recommendations Corporate governance is a dynamic force which continues to evolve. In March 2003, the ASX Corporate Governance Council released its Principles of Good Corporate Governance and Best Practice Recommendations (ASX Principles). These original ASX Principles provided a framework for good corporate governance. These principles have since been revised following wide consultation to include eight core principles and 27 specific recommendations and came into effect from 1 January 2008. All ASX listed companies are required to provide a statement in the annual report disclosing the extent to which they have followed the ASX Principles in the reporting period. Where companies have not followed all the ASX Principles they must identify those ASX Principles that have not been followed and give reasons for not following them.
